1. Introduction

Welcome to Waggex, a payroll management and HR services platform. These Terms of Service ("Terms") govern your use of the Waggex website and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Account Registration and Eligibility

2.1. Eligibility:

The Service is intended solely for businesses, organizations, and professional entities. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of the entity you represent.

2.2. Account Information:

You must provide accurate and complete information when registering for an account. You are solely responsible for maintaining the confidentiality of your account login credentials (username and password) and for all activities that occur under your account.

2.3. Compliance:

You agree to use the Service in compliance with all applicable local, state, national, and international laws and regulations.

3. Our Services

Waggex provides cloud-based payroll management services, including, but not limited to:

• Automated salary and tax calculations.
• Direct deposit processing.
• Tax filing and regulatory compliance support.
• Employee self-service portals.
• Reporting and data analytics.

Service Guarantee: While we strive for 100% accuracy and compliance, we rely on the information and instructions provided by you. Waggex is not responsible for errors resulting from inaccurate or incomplete data provided by you or your employees.

4. Payment and Fees

4.1. Pricing:

Access to the Service is billed on a subscription basis (the "Subscription"). You will be billed in advance on a recurring and periodic basis (e.g., monthly or annually), as specified during the sign-up process.

4.2. Fee Changes:

Waggex reserves the right to change the Subscription fees at any time. Any fee changes will become effective after providing you with reasonable prior notice (typically 30 days) and will apply to the next billing cycle.

4.3. Payment Method:

You must provide us with valid and current payment information. Failure to provide accurate billing information or timely payment may result in the suspension or termination of your account.

5. Termination and Cancellation

5.1. Termination by Waggex:

We may terminate or suspend your account immediately, without prior notice or liability, if you breach the Terms, including, but not limited to, failure to pay fees when due.

5.2. Termination by You:

You may cancel your Subscription at any time. Upon cancellation, your access will remain active until the end of the current billing cycle. Waggex does not issue refunds for fees paid in advance.

5.3. Data Retention:

Upon termination, Waggex will retain your data for a period of [Insert Time Period, e.g., 90 days] to comply with legal obligations and facilitate re-subscription. After this period, your data will be permanently deleted.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Waggex and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Waggex.

In no event shall Waggex, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the Service.
• Any conduct or content of any third party on the Service.
• Any unauthorized access, use, or alteration of your transmissions or content.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws ofIndia, with jurisdiction in Mohali, SAS Nagar, Punjab., without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms shall be instituted in the federal or state courts located in India, Mohali, SAS Nagar, Punjab.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
